COMMISSION AGREEMENT

This Commission Agreement (“Agreement”) is made and entered into as of the Effective Date (defined below), by and between:

Golftreks, operated as part of MTA Travel, having its principal place of business in Queensland, Australia (“Golftreks” or “the Company”); and

The undersigned travel operator, agency, or service provider that claims a listing on the Golftreks web portal (“Agent”).

Together, the parties are referred to as the “Parties” and individually as a “Party.”

1. DEFINITIONS

1.1 “Portal” means the Golftreks web portal, operated as part of MTA Travel.

1.2 “Booking” means any confirmed reservation or purchase of travel packages, tours, accommodation, golf-related services, or other products by a customer through the Portal.

1.3 “Commission” means ten percent (10%) of the total gross value of any Booking delivered through the Portal.

1.4 “Effective Date” means the date on which the Agent claims and activates its listing on the Portal.

2. APPOINTMENT

2.1 By claiming its listing on the Portal, the Agent appoints GolfTREX as a non-exclusive intermediary for the purpose of receiving and transmitting Bookings.

2.2 Golftreks agrees to provide the Agent with access to the Portal for the display of the Agent’s travel products and services to potential customers.

3. COMMISSION AND PAYMENT TERMS

3.1 Commission Structure
The Agent agrees to pay Golftreks a Commission of ten percent (10%) on each Booking delivered through the Portal.

3.2 Collection and Retention
Golftreks shall be entitled to collect all funds from the customer at the time of Booking. Golftreks shall retain the Commission (10%) and transfer the remaining ninety percent (90%) to the Agent.

3.3 Timing of Payments
Payments to the Agent shall be remitted within fourteen (14) business days following the completion of the customer’s payment, subject to the deduction of the Commission.

3.4 Refunds and Chargebacks
In the event of a cancellation, refund, or chargeback, Golftreks shall not be liable to remit any portion of the Commission to the Agent. The Agent shall be solely responsible for handling refunds or cancellations directly with the customer.

4. OBLIGATIONS OF THE AGENT

4.1 The Agent warrants that all information it provides on the Portal, including pricing, availability, service descriptions, and terms, is accurate, complete, lawful, and not misleading.

4.2 The Agent is solely responsible for delivering all services sold via the Portal in accordance with the terms advertised.

4.3 The Agent agrees to comply with all applicable laws, regulations, and industry standards, including consumer protection, fair trading, and travel industry regulations in Queensland, Australia.

5. LIABILITY AND INDEMNITY

5.1 Golftreks acts solely as an intermediary and accepts no liability for the provision, quality, safety, legality, or fitness of the services or products supplied by the Agent.

5.2 The Agent indemnifies and holds harmless Golftreks, its affiliates, officers, employees, and contractors against any claims, damages, losses, liabilities, or expenses (including legal fees) arising out of or connected with:

(a) the Agent’s provision of services;

(b) any false, inaccurate, or misleading information provided by the Agent;

(c) customer complaints, cancellations, or disputes.

6. TERM AND TERMINATION

6.1 This Agreement shall commence on the Effective Date and shall continue until terminated by either Party.

6.2 Either Party may terminate this Agreement with thirty (30) days’ written notice.

6.3 Golftreks reserves the right to suspend or terminate the Agent’s listing immediately in cases of fraud, breach of this Agreement, misrepresentation, or unlawful conduct.

7. LIMITATION OF LIABILITY

7.1 To the fullest extent permitted by law, GolfTREX shall not be liable to the Agent for any indirect, incidental, special, or consequential damages, including loss of profit, goodwill, or anticipated savings.

7.2 Golftreks’s total liability under this Agreement shall not exceed the total Commission retained in the three (3) months preceding the claim.

8. CONFIDENTIALITY

8.1 Each Party shall keep confidential all non-public information disclosed by the other Party in connection with this Agreement.

8.2 This obligation shall survive termination of this Agreement.

9. GOVERNING LAW AND JURISDICTION

9.1 This Agreement is governed by the laws of the State of Queensland, Australia.

9.2 The Parties submit to the exclusive jurisdiction of the courts of Queensland, Australia.

10. DISPUTE RESOLUTION

10.1 Any dispute arising under this Agreement shall first be referred to good faith negotiations between the Parties.

10.2 If unresolved within thirty (30) days, the dispute shall be submitted to mediation in Queensland, in accordance with the rules of the Resolution Institute (Australia).

10.3 If mediation fails, either Party may commence proceedings in the courts of Queensland.

11. MISCELLANEOUS

11.1 Entire Agreement – This Agreement constitutes the entire understanding between the Parties and supersedes any prior arrangements.

11.2 Variation – No variation of this Agreement shall be effective unless in writing and signed by both Parties.

11.3 Assignment – The Agent may not assign its rights under this Agreement without the prior written consent of GolfTREX.

11.4 Severability – If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force.

11.5 Force Majeure – Golftreks shall not be liable for failure to perform due to events beyond its reasonable control, including natural disasters, war, or system failures.

12. ACCEPTANCE

By claiming and activating a listing on the Portal, the Agent acknowledges and agrees to be bound by the terms of this Agreement.
